FOOTACTION TORONTO MUSIC WINS CONTEST (the “PROMOTION”)

NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. The Promotion is governed by these Official Rules, which are available at https://www.footlocker.ca/contest between November 20, 2020 and November 24, 2020. By participating in the Promotion, each entrant agrees to these Official Rules, including all eligibility requirements, and understands that the results of the Promotion are final in all respects. The Promotion is subject to all federal, provincial, territorial and local laws and regulations and is void where prohibited by law. The Promotion is in no way sponsored, endorsed or administered by, or associated with Instagram. You understand that you are providing your information to the Promotion Sponsor (defined below) and not to a social platform. The information you provide will only be used for the administration of this Promotion and in accordance with the Promotion Sponsor’s privacy policy (see below). Instagram is hereby completely released of all liability by each entrant in this Promotion. Any questions, comments or complaints regarding the Promotion must be directed to the Promotion Sponsor and not to Instagram. You may only use one (1) Instagram account (each, an “Instagram Account”) to participate in this Promotion. ELIGIBILITY: The Promotion is only open to legal residents of the Greater Toronto Area (GTA) in the Province of Ontario (excludes all other Canadian Provinces), who are thirteen (13) years of age or older at the time of entry. Those under the age of thirteen (13) must have their parents permission. Employees, representatives, officers and directors, and those with whom they are domiciled, of Foot Locker Canada Co. (the “Sponsor”), prize suppliers, and advertising/promotion agencies and their respective parent companies, subsidiaries, affiliates, (all of the above, collectively, “Promotion Entities”) are not eligible to enter or win. Sponsor reserves the right to verify the eligibility of the winner. PROMOTION PERIOD: The Promotion begins on November 20, 2020 at approximately 9:00am EST and ends on November 24, 2020 at 9:00pm EST (the “Promotion Period”). HOW TO ENTER: NO PURCHASE NECESSARY to enter this Promotion. To enter: an eligible entrant must: (i) must log in to his/her Instagram Account; (ii) follow the Promotion Sponsor’s Instagram Page located at [https://www.instagram.com/footactiontoronto/] the “Instagram Page”); (iii) like the contest promotion post at [https://www.instagram.com/footactiontoronto/]; (iv) comment on the post with his/her friend’s Instagram account and his/her favourite album from a Toronto artist/musician. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor) to participate in this Promotion. Failure to provide such proof in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid entry in this Promotion will be the Promotion server machine(s). All entries become the property of the Sponsor and none will be returned. All decisions of the Sponsor are final and binding.

IMPORTANT: Promotion Sponsor may not be able to send Promotion-related messages to you, if your Instagram Account settings are set to “private”. It is each entrant’s sole responsibility to take all steps required to correctly set his or her applicable Account(s) settings to accept communications from the Promotion Sponsor, and to timely check his or her Instagram Account for any direct messages, direct posts, comments or replies (as applicable) from the Promotion Sponsor. Standard data and/or other rates apply to participants who participate in this Promotion via a wireless mobile device. Wireless service providers may charge for airtime and/or data in relation to participation in this Promotion via a wireless mobile device. Please contact your service provider for pricing and service plan information and rates before mobile device participation. There is a limit of one entry per person. An eligible entrant may only enter the contest once throughout the Promotion Period. If it is discovered by the Promotion Sponsor (using any evidence or other information made available to or otherwise discovered by the Promotion Sponsor) that any person has attempted to: (i) exceed any of the foregoing limits on entries (or any other limit stipulated in these Official Rules); and/or (ii) use (or attempt to use) multiple names, identities email addresses, Instagram Accounts and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Promotion; then he/she may be disqualified from the Promotion in the sole and absolute discretion of the Sponsor. Your Entry may be rejected if (in the sole and absolute discretion of the Promotion Sponsor) it is not fully completed with all of the required information and submitted and received during the Promotion Period in accordance with these Official Rules. The Releasees (as defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible entries (all of which are void). All entries must meet the following submissions guidelines (the “Submissions Guidelines”): a. The Entry must not defame, misrepresent or contain disparaging remarks about Promotion Entities or any of their products, or other people, products or companies or communicate messages inconsistent with the positive images and/or goodwill associated with the Promotion Entities, as determined by Sponsor in its sole discretion. b. The Entry must be suitable for family audiences, including without limitation for display and publication on packaging and national television, as determined by Sponsor in its sole discretion. c. The Entry must not contain any content that is or contains: unlawful behaviour, profanity, explicit sexuality, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or is hatefully, racially, ethnically or otherwise offensive or objectionable, as determined by Sponsor in its sole discretion. d. The Entry must not infringe on the intellectual property rights, or defame or invade the publicity or privacy rights, of any third party, living or deceased. By submitting an entry, you warrant and represent that: (i) the entry is your original work, created solely by you, and over which you have all necessary rights, title and interest, including copyright; (ii) the entry has not been previously published; (iii) the entry does not infringe upon the intellectual property rights, or defame or invade the publicity or privacy rights, of any third party, living or deceased; (iv) all individuals appearing in the entry (or, in the case of minors, that the parent or legal guardian of such individuals) have granted to you an irrevocable, royalty-free, worldwide license in perpetuity to publish or otherwise use their likeness in the entry in any manner and media whether now known or hereafter devised including; and, (v) that the entry complies with the Submissions Guidelines. You agree to indemnify and hold harmless the Promotion Entities from any claims to the contrary. By entering, you agree as follows: (i) you acknowledge that your entry may be used in Sponsor’s promotional material or on Sponsor’s social media accounts, in Sponsor's sole discretion but without obligation; (ii) you have the right and authority to, and do hereby, grant to Sponsor an irrevocable, non-exclusive, royalty-free worldwide license in perpetuity to reproduce, store, copy, broadcast, display, distribute, edit, alter, combine with other material, publish, post, commercialize and/or otherwise use without limitation all or any part of the entry on the Promotion website or in Sponsor’s promotional material and social media accounts; (iii) you waive any and all moral rights that you may have in and to the entry with respect to the uses contemplated herein; and, (iv) you agree to release and hold harmless Sponsor from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action that relates in any way to Sponsor’s use of the entry. PRIZES: There is a total of one (1) Toronto Music Wins Prize available to be won. Prize: The Toronto Music Wins Prize consists of one (1) Kuwalla Tee black hoody, one (1) Kuwalla Tee white t-shirt and one (1) Kuwalla Tee khaki cargo pants, available in men’s size small to extra-large. The approximate retail value of grand prize is two-hundred and fifteen Canadian dollars ($215.00 CAD). Contest sponsor make an effort to fulfil the size requested by contest winner, but cannot guarantee that the size will be available. The following general conditions apply to the Prize(s): (i) the Sponsor and/or their representatives reserve the right at any time to place reasonable restrictions on the availability or use of the Prize or any aspect of the Prize; (ii) by accepting the Prize, the winner agrees to waive all liability against the Promotion Entities, and all of their respective officers, directors, employees, representatives, subsidiaries, affiliates, agents, and agencies affiliated with this Promotion (collectively, the “Releasees”), if any part of the Prize does not prove satisfactory, either in whole or in part, and from any injury, loss or damage of any kind resulting from the acceptance, use, or misuse of the Prize, travel or activities related thereto, or otherwise from participation in the Promotion. By entering this Promotion and accepting the Prize, the winner agrees to maintain his/her behaviour in accordance with all applicable laws and generally accepted social practices in connection with participation in any Promotion or Prize-related activity. The Prize winner understands and agrees that Sponsor or prize providers have the right, in their sole discretion, to disqualify and remove the Prize winner if the Prize winner’s behaviour at any point is uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of any Promotion Entity or otherwise violates the policies of the prize providers, and in such a case, the Prize winner will still be solely responsible for all expenses related to the Prize. PRIZE DRAW: A random draw for the Prize will be made on November 26, 2020 at approximately 9:00 a.m. EST in Toronto, ON, Canada from all eligible entries received during the Promotion Period. The odds of winning a Prize will depend on the total number of eligible entries received during the Promotion Period. WINNER NOTIFICATION AND SELECTION: The potential Grand Prize winner will be contacted by direct message on Instagram. If a selected entrant cannot be contacted (or fails to respond to any direct message) within one (1) day of the Sponsor’s first attempt to contact such selected entrant, he/she will be declared ineligible, will forfeit any potential prize, and a new potential winner will be selected from all remaining eligible entries in accordance with these Official Rules. Before being declared a Prize winner, the selected entrant: 1) will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question; 2) may be required to sign (and in the case of a minor, have his/her parent or legal guardian sign on his/her behalf) a Declaration and Release Form (the “Release Form”) stating that he/she has read, understood and complied with these Official Rules (including the eligibility requirements) and releasing the Releasees from any and all liability of any kind arising out of the selected entrant’s participation in this Promotion and receipt, use or misuse of the Prize or any merchandise redeemed with the Prize; 3) must grant all consents required as contemplated in these Official Rules; 4) must authorize the Sponsor to broadcast, publish and disseminate his/her name, address (city and province/territory), photograph, likeness and voice in connection with any promotion or publicity and/or for general news, entertainment and information purposes with no notice or compensation to the selected entrant; and 5) must accept the Prize as offered. If any selected entrant fails to correctly answer the mathematical skill-testing question, fails to execute and return the Release Form within the required time period of one (1) business day, is otherwise not in compliance with these Official Rules, or is unable or unwilling to comply with these Official Rules, the selected entrant will be deemed ineligible and will forfeit his/her Prize. A new potential winner will then be selected from all remaining eligible entries in accordance with these Official Rules. However, no potential Prize winner will be selected after November 28, 2020 at 11:59 p.m. ET. All decisions of the Sponsor with respect to any aspect of this Promotion, including without limitation, the eligibility of entries, are final and binding on all entrants in all matters as they relate to this Promotion. INDEMNIFICATION AND LIMITATION OF LIABILITY: BY ENTERING THE PROMOTION, EACH ENTRANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS THE RELEASEES FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ENTRANT’S PARTICIPATION IN THE PROMOTION AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE THAT MAY BE WON OR ANY MERCHANDISE THAT MAY BE REDEEMED WITH A PRIZE. THE SPONSOR DOES NOT MAKE ANY WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF THE PRIZE OR ANY RELATED PRIZE ELEMENTS, INCLUDING MERCHANDISE REDEEMED WITH A PRIZE. THE RELEASEES DISCLAIM ANY LIABILITY FOR DAMAGE TO ANY COMPUTER SYSTEM OR MOBILE DEVICE RESULTING FROM ACCESS TO OR THE DOWNLOAD OF INFORMATION OR MATERIALS CONNECTED WITH THE PROMOTION. GENERAL CONDITIONS: The Releasees extend absolutely no representations, warranties or conditions in respect of the Prize and accept no liability for death, damages or losses of any kind resulting from the acceptance, use or misuse of the Prize (including merchandise redeemed with a Prize) or participation in the Promotion. The Releasees are not responsible for late, delayed, lost, incomplete, illegible, misdirected, garbled, stolen, or mutilated entries or Release Forms. The Releasees will not be liable for any failure of any website, computerized, electronic or telephone network during the Promotion; for any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; for the failure of any entry to be received by the Sponsor for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website or mobile network; or any combination of the above. In the event of a dispute regarding who submitted an entry, online entries will be deemed to have been submitted by the authorized account holder of the Instagram Account used to submit the entry. An entrant may be required to provide proof that he/she is the authorized account holder of the Instagram Account associated with the selected entry. “Authorized account holder” is defined as the person who is assigned to an Instagram account by Instagram. The Sponsor reserves the right, in its sole discretion, to cancel, withdraw, modify, amend or suspend this Promotion or to amend or modify these Official Rules in any way, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind (including, but not limited to, technical problems, computer viruses, bugs, tampering, unauthorized intervention, fraud, and technical failure), insufficient entries, any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Promotion as contemplated by these Official Rules, or for any other reason. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Promotion is a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. No more than the stated number of prizes will be awarded. Subject to all applicable Canadian federal, provincial, territorial and municipal laws and regulations, these Official Rules govern all aspects of the Promotion and are binding on all participants. In the event of any discrepancy or inconsistency between the terms and conditions of these English Official Rules and disclosures or other statements contained in any Promotion-related materials, including, but not limited to the Promotion entry form, and/or point of sale, television, radio, print or online advertising or the French version of these Official Rules, the terms and conditions of these English Official Rules shall prevail, govern and control. PERSONAL INFORMATION AND PRIVACY: Personal information of Promotion participants will: (i) be held by Foot Locker Canada at Foot Locker Canada Corporation c/o Customer Service Department, 230 Barmac Drive, 2nd floor, Weston, Ontario, M9L 2Z3; (ii) be used for, and accessible only to employees directly involved in the Promotion, internal analysis by Sponsor and its affiliates, agents and advertising and promotion agencies; and (iii) not be disclosed to other third parties for their own uses unless you have provided your express consent to such sharing.
